Description

About the role

Anthropic is seeking a Senior Manager, M&A Finance Integration to run the finance function's role in each transaction, from LOI through Day 1 readiness and post-close execution, and to own the program management of Anthropic's growing legal entity footprint.

This is a build-and-run opportunity. Reporting to the Director, M&A Finance Integration, you will be the day-to-day operator of the M&A Finance Integration program: you will scope and drive the finance integration plan for each deal, coordinate finance workstreams alongside Corporate Development, Legal, and People, and be the connective tissue between deal teams and the functions that execute. You will also own the end-to-end legal entity lifecycle (setup, migration, and wind-down) for acquired entities and newly formed subsidiaries, and turn what we learn from every deal and legal entity set up into a maintained playbook and template library.

The ideal candidate has operated in a similar function at a high-growth technology company, brings enough accounting fluency to know when a closing spreadsheet or entity plan looks wrong, and thrives on building rigorous, repeatable processes while deals are live.

Key responsibilities

Deal Integration Planning & Execution

  • Scope and own the finance integration plan for each transaction across every phase, from LOI and due diligence through signing, sign-to-close, and Day 90, spanning finance functions
  • Tailor the plan to the integration model (full integration vs. standalone subsidiary) and define each function's baseline activities and standalone-specific deltas
  • Ensure every function is engaged at the right phase, with clear owners, dependencies, and escalation paths
  • Run the integration operating rhythm: workstream check-ins, issue logs, risk registers, RACI matrices, decision logs, and status reporting to finance leadership
  • Negotiate deliverables and trade-offs directly with functional leads; escalate to the Director with a recommendation when priorities conflict

Day 1 Readiness & Post-Close Execution

  • Drive Finance Day 1 readiness: bank account control and signers, payroll cutover, AP/AR continuity, ERP entity, cost-center and project-code setup, chart-of-accounts mapping, and expense policy communication
  • Run the Day 1 checklist and 30/60/90-day follow-through, ensuring acquired entities are onboarded without disruption to the close cycle
  • Coordinate the closing spreadsheet, net working capital mechanics, and post-close true-up with Corporate Development, Legal and Technical Accounting
  • Serve as a primary finance point of contact for the target's finance team and Corporate Development's integration lead during transition
  • Scope, track, and manage external advisor engagements and unblock issues as they arise

Stakeholder Management & Communication

  • Act as a credible counterpart to Corporate Development, finance functional leads, and target finance leadership on integration substance
  • Communicate integration and entity status to leadership through clear dashboards and written briefings
  • Mentor team members and contractors as the function grows
  • Handle confidential deal information with discipline

Legal Entity Lifecycle Program Management

  • Build and run the end-to-end entity setup process: decision documentation, incorporation, tax registrations, banking, ERP entity creation, functional-currency assessment, payroll or employer-of-record bridge, and statutory / compliance calendar onboarding, with a named owner for each step across US and international entities
  • Own the entity wind-down process, including customer and vendor off-boarding, final payroll and employee transfers, account closure, intercompany settlement, and final statutory filings, in partnership with Legal, Tax, and the involved finance functions
  • Design and maintain a single entity tracker with per-entity, per-workstream implications and status, aligned with adjacent entity programs (e.g., infrastructure and special-purpose entities) so they share one backbone

Playbook, Templates & Infrastructure

  • Build and own the Legal Entity Playbook: a repeatable, end-to-end framework covering entity formation, migration, and wind-down for acquired entities and newly formed subsidiaries in the US and internationally
  • Own and maintain sections of the modular M&A Finance Integration Playbook: per-function deliverables by phase, standard operating procedures, and the template library
  • Lead post-deal retrospectives and drive the resulting changes into the playbook and templates
  • Identify and implement tooling and automation, including AI-assisted solutions, for recurring program work such as status synthesis, tracker updates, escalations and draft communications

Minimum qualifications

  • Demonstrated end-to-end ownership of at least two finance integration projects or entity set up projects, from planning through post-close execution, including project plan ownership and executive reporting
  • Working accounting fluency across the areas your stakeholders own: the close calendar, chart of accounts, intercompany, statutory reporting, purchase accounting fundamentals, and the finance implications of common deal structures (asset vs. stock, acquihire vs. strategic, full integration vs. standalone)
  • Strong program-management capability: comfortable scoping ambiguous work, owning multiple parallel workstreams, and managing to milestones without extensive oversight
  • Experience with ERP systems (NetSuite, Oracle, SAP, or equivalent) in an acquisition and migration context
  • Cross-functional credibility with Legal, Tax, People, Corporate Development, and Finance sub-functions, and the ability to drive outcomes across competing timelines and risk tolerances
  • Comfort operating under deal-environment time pressure and confidentiality, with sound judgment when processes are being defined in real time
  • Excellent written and verbal communication, with the ability to distill complex operational issues into clear, decision-ready briefings

Preferred qualifications

  • 10+ years in finance, accounting, or finance operations, with at least 3 years running cross-functional programs at a high-growth technology company, with a focus in M&A integration or legal entity programs
  • Have built or significantly contributed to a finance integration playbook, template library, or integration management office infrastructure from scratch
  • Bring international entity experience: new-jurisdiction setup, statutory audit and local GAAP obligations, employer-of-record bridges, transfer pricing and intercompany agreements
  • Have worked with standalone-subsidiary integration models, consolidation bridges, and equity-method investments
  • Be an active user of AI tools in their own workflow and excited to push program management toward automation
  • Hold a CPA, ACA, ACCA, or CA qualification
  • Be genuinely excited about AI safety and aligned with Anthropic's mission to build reliable, interpretable, and steerable AI systems
